Affiliate Agreement

1. Introduction and Acceptance of Terms

This Affiliate Program Agreement ("Agreement") governs the relationship between Depthlog and its Affiliate Partners. By registering as an affiliate and generating a unique promotional code, the user confirms they have read, understood, and fully accept all terms and conditions outlined herein. Participation in the affiliate program constitutes a legally binding agreement between the user and Depthlog.

2. Affiliate Registration and Payment Methods

Upon onboarding, affiliates are required to select their preferred payment method. Currently, Depthlog supports two payment options:

• PayPal: worldwide
• Bank Transfer: Italy only

Affiliates must provide accurate and complete payment information during Affiliate Program signup.

3. Promotional Code and Revenue Sharing

3.1 Unique Promotional Code

Each affiliate receives a unique promotional code that provides:

• 0.0% discount to new customers
• 0.0% revenue share on the net sale value

3.2 Revenue Calculation

The revenue share is computed net of Stripe fees and discount percentage. Let us consider a discount of 10% and a revenue share of 15%.
The billable amount is $v$ is computed as the total sale amount net the discount percentage:

$v=0.9\cdot y$

The net amount that gets transferred to the Affiliate for each sale is the value $x$:

$x=0.15\cdot(v - S_f(v))$

• $y$ total sale amount
• $v$ billable amount
• $S_f(v)$ Stripe fees
• $x$ net revenue share

Here is a practical example:

• The total price is $y=49$ €
• The price net of the discount of 10% for new users is $v = 0.9 \cdot y = 44.1$ €
• Stripe fees depend on multiple factors, as an example we consider a flat 5%: $S_f(v)=v \cdot 0.95 \approx 2.20$ €
• The net affiliate earning per sale is $x=0.15 \cdot (44.1 - 2.20) \approx 6.28$ €

4. Payout Schedule and Processing

Payments are processed with the following terms:

• Payouts occur monthly, at the end of each calendar month
• Depthlog reserves up to 5 business days after month-end for processing affiliate charges
• Payment timing may vary between affiliates due to processing complexities
• Affiliates will receive detailed earnings statements with their payments

5. Program Modifications

Depthlog reserves the right to:

• Modify the promotional discount rate
• Adjust the revenue share percentage or convert to a fixed value
• Change affiliate program delivery methodologies or platform tools

In the event of any modifications, affiliates will be notified:

• Via email
• Through the Depthlog web application
• With reasonable advance notice
• Ensuring transparency in all program changes

6. Affiliate Conduct and Compliance

Affiliates agree to:

• Promote Depthlog services ethically and legally
• Not engage in fraudulent or misleading marketing practices
• Comply with all applicable laws and regulations
• Represent Depthlog's brand and services accurately

7. Intellectual Property

All promotional materials, logos, and content provided by Depthlog remain the intellectual property of the company. Affiliates are granted limited, non-transferable rights to use these materials solely for promoting the Depthlog affiliate program.

8. Liability and Indemnification

Depthlog shall not be liable for:

• Indirect, incidental, or consequential damages
• Losses resulting from affiliate marketing activities
• Third-party actions taken using affiliate promotional codes

Affiliates agree to indemnify and hold Depthlog harmless from any claims arising from their marketing activities.

9. Termination

Depthlog reserves the right to terminate the affiliate relationship:

• With or without cause
• Immediately upon written notice
• In cases of program abuse, fraudulent activity, or breach of agreement
